Terms of Service

Agreement to Terms

By accessing or using eidetic.bot (the “Website”) or the Eidetic managed AI agent platform (the “Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Website or Service.

Description of Service

Eidetic provides managed AI agents with persistent memory for business operations. Our agents handle email, calendar management, client communications, research, social media, and other operational tasks as configured during onboarding. The Service is provided on a subscription basis with tiered pricing.

Account and Access

• You are responsible for maintaining the security of your account credentials and any tool access you grant to your agent.
• You are responsible for all activity that occurs under your account, including actions taken by your agent within the autonomy level you configure.
• You must notify us immediately of any unauthorized use of your account.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Send spam, unsolicited messages, or communications that violate anti-spam laws
• Harass, threaten, or harm any person or entity
• Infringe on intellectual property rights of third parties
• Transmit malicious code, viruses, or other harmful content
• Attempt to gain unauthorized access to our systems or other users' data
• Use the Service for any purpose that is fraudulent or deceptive

Agent Actions and Approval Gates

Eidetic agents operate with configurable autonomy levels. You control which actions require your explicit approval and which the agent may perform independently. You acknowledge that:

• Actions you configure as “autonomous” will be executed by your agent without individual approval.
• You are responsible for setting appropriate autonomy levels for your business needs.
• All agent actions, whether approved or autonomous, are logged and available for your review.
• Eidetic is not liable for the consequences of actions your agent takes within the autonomy level you configure.

Data Ownership

You retain all rights to your data. Eidetic does not claim ownership of any content, data, or information you provide to the Service or that your agent processes on your behalf. Your data is used solely to operate your agent and is never used to train AI models.

Payment and Billing

• Service fees are billed monthly in advance at the rate corresponding to your selected tier.
• Setup fees are billed once at the beginning of your service engagement.
• Prices are subject to change with 30 days' written notice.
• Failure to pay may result in suspension or termination of your agent.

Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable notice of planned downtime when possible.

Limitation of Liability

To the maximum extent permitted by law, Eidetic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

Termination

Either party may terminate the service agreement with 30 days' written notice. Upon termination, we will:

• Provide you with an export of your agent's memory and data upon request
• Delete your data from our systems within 30 days, subject to legal retention requirements
• Revoke all tool access and credentials associated with your agent

Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email to active clients. Continued use of the Service after changes constitutes acceptance of the revised terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
